Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Nebli, Inc. ("Nebli", "we", "us", or "our"), including nebli.ai and hoverfeed.com (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

1. Eligibility

You must be legally able to enter into a contract and, where applicable, be authorized by your organization to use the Services. Access may be limited to approved organizations and personnel.

2. Accounts and access

You are responsible for maintaining the confidentiality of any credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or revoke access to protect the Services or comply with law.

3. Acceptable use

You agree not to:

• Use the Services in violation of applicable law or third-party rights.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
• Use the Services to build a competing product or to misappropriate confidential information.
• Upload malicious code or use the Services in a manner that could harm Nebli or others.

4. Customer data

You retain ownership of data you submit to the Services ("Customer Data"). You grant Nebli a limited license to process Customer Data as necessary to provide and improve the Services and as described in our Privacy Policy. You are responsible for ensuring you have the rights and permissions needed to submit Customer Data.

5. Intellectual property

The Services, including all software, content, and trademarks, are owned by Nebli or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you.

6. Hover and third-party services

Hover, available at hoverfeed.com, is a Nebli product and forms part of the Services covered by these Terms. The Services may also interoperate with or link to genuinely third-party products, such as integrations or app stores; your use of those is governed by their own terms, and Nebli is not responsible for third-party content or practices.

7. Fees

Where the Services are provided under a paid agreement, applicable fees, billing, and payment terms will be set out in a separate order or agreement. Unless otherwise stated, fees are non-refundable.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Nebli will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to the Services. Nebli's total liability for any claim will not exceed the amounts paid by you for the Services in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Nebli and its affiliates from claims, damages, and expenses arising from your use of the Services or violation of these Terms, except to the extent caused by Nebli's own misconduct.

11. Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate access at any time for violation of these Terms or to protect the Services. Provisions that by their nature should survive termination will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The parties will attempt to resolve disputes informally before pursuing formal proceedings.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version and revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
